YelloRide Driver Partner Agreement & Protection Charter

1. Independent Contractor Relationship

This Agreement establishes that you (“Driver Partner”) operate as an independent business operator and private commercial transportation provider. Nothing in this Agreement creates an employment, agency, joint venture, or franchise relationship between you and YelloRide Technologies Nigeria Limited.

As an independent contractor, you retain full operational autonomy to determine your working hours, accept or decline ride requests without punitive acceptance-rate penalties, and operate across your preferred city corridors.

2. The 100% Fare Retention Model

YelloRide rejects the traditional 20%–25% commission deduction model that extracts substantial portions of driver earnings. Under our model:

• 100% Fare Retention: You retain the entirety of every passenger trip fare and courier delivery fee paid on your completed trips.
• Zero Commission Deductions: YelloRide takes 0% commission from your trip earnings regardless of trip volume or surge pricing.
• Customer Tips: 100% of voluntary passenger tips belong exclusively to the driver.

3. Flat Weekly Driver Subscription (₦9,900 / Week)

In exchange for platform technology access, real-time dispatch infrastructure, passenger acquisition, GPS corridor routing, and 24/7 incident safety response, active driver partners pay a flat weekly subscription:

5. One-Tap Subscription Pause & Platform Downtime Credit

We recognize that vehicle maintenance, travel, fuel shortages, and personal illness can prevent drivers from operating. To protect your finances:

• One-Tap Subscription Pause: You can pause your subscription at any time directly in the Driver App. When paused, billing stops immediately. Unused prepaid days are credited toward your next active period.
• App Downtime Credit Guarantee: In the event that YelloRide dispatch servers experience verified platform downtime exceeding two (2) cumulative hours during your active billing week, an automatic pro-rated subscription credit is applied to your subsequent billing cycle.

6. 3D Biometric Liveness Verification & KYC

To maintain passenger safety and prevent illegal account subletting, all driver partners must complete mandatory 3D biometric facial liveness checks before activating their daily dispatch availability.

The liveness check runs directly inside the Driver App using the front-facing camera. You are required to center your face and blink naturally to prove active human presence. Trips cannot be dispatched to accounts that fail or attempt to bypass the 3D liveness check.

7. Vehicle Standards & Mandatory Documents

All driver partner vehicles must meet the following minimum criteria:

• Four-door vehicle in clean mechanical condition with functioning air conditioning.
• Valid Federal Republic of Nigeria Driver’s License issued by the FRSC.
• Current Vehicle License, Certificate of Roadworthiness, and Comprehensive or Third-Party Insurance.
• State transport compliance (e.g. LASRRA identification / State VIS inspection where applicable).
• Mandatory 18-point vehicle roadworthiness audit completed every six (6) months at an authorized YelloRide inspection center.

8. Daily Payouts & Bank Cashout

Earnings from digital card trips and corporate account vouchers are credited directly to your in-app Driver Wallet. Drivers may execute instant bank cashouts to any verified commercial bank account in Nigeria 24 hours a day, 7 days a week, with standard settlement times under 60 seconds.

9. Fair Quality Standards & 48-Hour Human Appeal Rights

Unlike traditional rideshare platforms that abruptly terminate accounts based on opaque algorithms, YelloRide institutes a transparent, human-reviewed quality process:

• Rating Threshold: Maintaining a cumulative rider rating below 4.5 stars over fifty (50) consecutive trips triggers a quality review.
• Mandatory 48-Hour Appeal Window: Drivers are not automatically blocked. You receive written notice and have 48 hours to present context, dashcam evidence, or trip explanations to our local Partner Review Panel before any deactivation decision is made.
• Immediate Ground Violations: Deactivation without prior notice occurs only for severe violations: physical violence, verified sexual harassment, driving under the influence, off-app extortion, or account credential sharing.

10. Pro-Rated Refunds & Voluntary Termination

You may exit the YelloRide platform at any time without exit fees or penalties:

If you choose to permanently close your driver account mid-week, any unused prepaid days of your weekly subscription are refunded pro-rata to your linked Nigerian bank account within three (3) business days.
